1. Deposit & payment
The 50% deposit reserves the Artist's schedule and funds design work; it is non-refundable once design work begins. The remaining balance is due upon completion of the mural, on the day of the final reveal, before or at delivery of any filming/photo assets. Late balances accrue a 5% monthly charge after 14 days. If materials run meaningfully over the estimate (more than 10%), the Artist will notify the Client and log the change before purchasing.
2. Design ownership & copyright
The Client owns the physical mural. The Artist (Courtney Edwards) retains full copyright in the design and all preparatory drawings, including the right to reproduce the design in photographs, video, portfolio, and print — except as limited by the filming option selected in Stop 07. The design created for this project will not be duplicated on another client's wall.
3. Client responsibilities
The Client will complete any agreed prep work by the date in Stop 03, provide safe and reasonable access to the space during the agreed working hours, and maintain a safe working environment (stable surfaces, working electricity if needed, honest disclosure of known hazards). Days the Artist cannot work because prep or access wasn't ready may shift the completion window and, beyond the first occurrence, are billable at $150/day to cover lost scheduled time.
4. Artist responsibilities
The Artist will show up as scheduled, keep the space clean and protected (drop cloths, masking), communicate honestly and promptly about progress or delays, complete the mural in a professional manner substantially matching the approved drawing and palette, and leave the site tidy. Minor artistic interpretation between drawing and wall is normal and expected; substantive departures require a logged change.
5. Delays we can't control
Weather, illness, supply shortages, or emergencies may shift dates. Neither party is penalized for good-faith delays; new dates are agreed promptly and entered in the change log.
6. Changes & cancellation
Any change to scope, design, dates, or cost is added to the Change Log below, the version number increases, and both parties re-initial. If the Client cancels after design work begins, the deposit is retained. If the Client cancels after painting begins, payment is due proportional to work completed plus materials purchased. If the Artist must cancel for reasons other than Client breach, all payments beyond work completed and materials used are refunded.
7. Care & touch-ups
The Artist will provide care instructions at completion and will repair minor defects in workmanship (peeling, flaking not caused by wall conditions, moisture, or damage) reported within 12 months, free of charge. Damage from impact, water intrusion, cleaning chemicals, or later construction is not covered but can be repaired at a quoted rate — murals are made to be lived with, and touch-ups are normal.
8. Liability & insurance
The Artist is responsible for her own tools, actions, and workspace practices. The Client's property insurance remains primary for the premises. Each party is responsible for its own negligence; neither party is liable to the other for indirect or consequential damages. Total liability under this agreement is capped at the total contract price.
9. Where we resolve things
This agreement is governed by the laws of the Commonwealth of Puerto Rico. If a disagreement arises, both parties agree to try direct good-faith discussion first, then mediation, before any formal proceeding, which shall take place in Puerto Rico.
